1. Acceptance of Terms
By accessing and using the Miba platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.
2. Description of Service
Miba is an online platform that connects customers seeking home and professional services with independent service providers. We do not provide these services ourselves; we facilitate connections between users.
3. User Accounts
To use certain features of our Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. User Conduct
You agree not to:
- Use the Service for any unlawful purpose
- Post false, misleading, or fraudulent content
- Harass, abuse, or harm other users
- Interfere with the proper functioning of the Service
- Attempt to gain unauthorized access to our systems
- Use automated systems to access the Service without permission
5. Provider Terms
Service providers on our platform are independent contractors, not employees of Miba. Providers agree to:
- Maintain all required licenses and insurance
- Provide services in a professional and timely manner
- Accurately represent their skills and experience
- Honor accepted bids and commitments
6. Customer Terms
Customers using our platform agree to:
- Provide accurate job descriptions and requirements
- Communicate honestly with service providers
- Pay for services as agreed upon with the provider
- Treat providers with respect and professionalism
7. Payments
Payments for services are arranged directly between customers and providers. Miba is not responsible for payment disputes between users. Users are responsible for determining and paying any applicable taxes.
8. Marketplace Liability
Miba acts solely as an intermediary platform connecting customers with independent service providers. We do not employ, endorse, or supervise any provider. We make no representations or warranties regarding the quality, safety, legality, or timeliness of services performed by providers. Any disputes regarding work quality, damages, injuries, or service failures are solely between the customer and the provider.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Miba and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount paid by you to Miba in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
10. Indemnification
You agree to indemnify, defend, and hold harmless Miba, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service or violation of these Terms
- Content you post or submit through the Service
- Your interaction with other users, including any services performed or received
- Any violation of applicable laws or third-party rights
11. Intellectual Property
The Miba platform, including its design, logos, text, graphics, and software, is the property of Miba and is protected by intellectual property laws. You retain ownership of content you submit to the platform, but grant Miba a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content solely for the purpose of operating and promoting the Service.
12. Dispute Resolution
In the event of a dispute between users, we encourage direct communication to reach a resolution. If a dispute cannot be resolved directly, either party may contact Miba support to request mediation assistance. For disputes between you and Miba, you agree to first attempt resolution through informal negotiation by contacting us. If not resolved within 30 days, either party may pursue binding arbitration in accordance with the rules of the Israeli Institute of Commercial Arbitration, conducted in Tel Aviv, Israel.
13. Termination
We reserve the right to terminate or suspend your account at any time for any reason, including violation of these terms. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive (including indemnification, limitation of liability, and dispute resolution) will remain in effect.
14. Changes to Terms
We may modify these terms at any time. We will notify users of significant changes via email or platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the new terms. If you do not agree with the changes, you must stop using the Service and delete your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any legal proceedings shall be conducted exclusively in the competent courts of Tel Aviv-Jaffa, Israel.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Miba regarding the use of the Service and supersede any prior agreements or understandings.
